Agreement to Terms

By accessing or using the services provided by Pingdingshan RuiJian Technology Co., Ltd. ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

We provide professional technology services including, but not limited to:

Use of Services

Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use our services. By using our services, you represent and warrant that you meet these requirements.

Account Responsibilities

If you create an account with us, you are responsible for:

• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Ensuring that all information provided is accurate and up-to-date

Prohibited Activities

You agree not to:

Intellectual Property Rights

Our Intellectual Property

All content, features, and functionality of our services, including but not limited to text, graphics, logos, software, and designs, are owned by us or our licensors and are protected by copyright, trademark, and other intellectual property laws.

Client Intellectual Property

For custom development projects, intellectual property ownership will be specified in the project agreement. Generally:

• Upon full payment, clients own the custom code developed specifically for their project
• We retain ownership of our pre-existing tools, libraries, and frameworks
• We may use general knowledge and techniques gained from projects in future work

Payment Terms

Fees and Billing

Service fees will be specified in project proposals or service agreements. Payment terms include:

• Invoices must be paid within the specified timeframe
• Late payments may incur interest charges
• We reserve the right to suspend services for non-payment
• All fees are non-refundable unless otherwise stated in the service agreement

Price Changes

We reserve the right to modify our pricing at any time. Price changes will not affect existing signed agreements.

Service Level and Support

Service level agreements (SLAs) and support terms will be specified in individual project agreements. We strive to:

• Deliver projects on agreed timelines
• Provide technical support as outlined in agreements
• Maintain reasonable uptime for hosted services
• Respond to support requests in a timely manner

Warranties and Disclaimers

Limited Warranty

We warrant that our services will be performed in a professional and workmanlike manner. For a specified warranty period after project completion, we will fix bugs and errors in our work at no additional cost.

Disclaimer

EXCEPT AS EXPRESSLY PROVIDED IN A SERVICE AGREEMENT, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, OR OTHER INTANGIBLE LOSSES.

Confidentiality

Both parties agree to:

• Maintain the confidentiality of proprietary information
• Use confidential information only for the purposes of the agreement
• Not disclose confidential information to third parties without consent
• Return or destroy confidential information upon request

Termination

Either party may terminate a service agreement:

• With written notice as specified in the agreement
• Immediately for material breach of terms
• If the other party becomes insolvent or bankrupt

Upon termination, the client must pay for all services rendered up to the termination date.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Continued use of our services after changes constitutes acceptance of the modified Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes shall be resolved in the courts of Pingdingshan City, Henan Province.

客户知识产权

对于定制开发项目，知识产权归属将在项目协议中明确。一般来说：

• 全额付款后，客户拥有专门为其项目开发的定制代码
• 我们保留对预先存在的工具、库和框架的所有权
• 我们可以在未来的工作中使用从项目中获得的一般知识和技术

付款条款

费用和计费

服务费用将在项目提案或服务协议中明确规定。付款条款包括：

• 发票必须在规定的时间范围内支付
• 逾期付款可能会产生利息费用
• 我们保留因未付款而暂停服务的权利
• 除非服务协议另有说明，否则所有费用不可退还

价格变更

我们保留随时修改定价的权利。价格变更不会影响现有已签署的协议。

服务水平和支持

服务水平协议（SLA）和支持条款将在单独的项目协议中明确。我们努力：

保证和免责声明

有限保证

免责声明

除服务协议中明确规定外，我们的服务按"原样"提供，不提供任何明示或暗示的保证，包括但不限于适销性、特定用途适用性或非侵权的保证。

责任限制

在法律允许的最大范围内，我们不对任何间接、偶然、特殊、后果性或惩罚性损害，或任何利润或收入损失（无论是直接还是间接产生），或任何数据、使用或其他无形损失承担责任。

保密性

双方同意：

• 维护专有信息的机密性
• 仅将机密信息用于协议目的
• 未经同意不向第三方披露机密信息
• 应要求返还或销毁机密信息

终止

任何一方都可以终止服务协议：

• 按协议中规定的书面通知
• 因重大违反条款而立即终止
• 如果另一方资不抵债或破产

终止后，客户必须支付截至终止日期提供的所有服务费用。

条款变更

我们保留随时修改这些条款的权利。我们将通过在网站上发布更新的条款并更新"最后更新"日期来通知用户重大变更。变更后继续使用我们的服务即表示接受修改后的条款。

适用法律

本条款受中华人民共和国法律管辖并依其解释。任何争议应在河南省平顶山市的法院解决。
